International Seaways, Inc. has announced the completion of its acquisition of Bruton Limited, a Bermuda-based company, effective November 2, 2026. This strategic move is significant for International Seaways as it aims to enhance its market position and operational capabilities within the water transportation industry.
The acquisition was executed through a merger agreement dated October 16, 2026, whereby Bruton Limited merged with Bravo Ltd., a wholly owned subsidiary of International Seaways. Following the merger, Bruton will operate as an indirect wholly owned subsidiary of International Seaways.
As part of the merger agreement, shareholders of Bruton will receive either shares of International Seaways' common stock or cash, depending on the number of shares they hold. Specifically, holders of more than 10,000 Bruton common shares will receive 0.05190 shares of International Seaways common stock and cash for any fractional shares. Meanwhile, those holding 10,000 or fewer shares will receive cash consideration of $6.3044 per share.
This acquisition will result in approximately 1.1 million shares of International Seaways common stock being issued as part of the merger consideration. The issuance of these shares is being made under an exemption from registration under the Securities Act, as less than 10% of Bruton’s shares are held by U.S. holders.
International Seaways, which operates on the New York Stock Exchange under the ticker INSW, is a prominent player in the water transportation sector. The company’s strategic acquisition of Bruton Limited is expected to bolster its service offerings and enhance its competitive edge in a rapidly consolidating industry.
The merger aligns with broader trends in the water transportation sector, where companies are increasingly seeking to consolidate resources and expand their operational footprints. As the industry evolves, such mergers may become more common as firms look to leverage synergies and improve efficiency.
Looking ahead, the filing does not specify any immediate next steps following the merger's completion. However, shareholders and industry analysts will likely be monitoring how this acquisition impacts International Seaways' operations and market strategy in the coming months.
